Terms of Use

Effective Date: October 13, 2026

PART I — GENERAL USER TERMS

1. Acceptance of Terms. These Terms of Use (these “Terms”) are entered into between you and Anapausis, Inc., doing business as “ana kate” (the “Company,” “ana kate,” “we,” “us,” or “our”), and govern your access to and use of the ana kate mobile application, website located at www.anakate.com, and all related content, functionality, analytics, communications, and services (collectively, the “Platform”). Your use of the Platform is also subject to our Privacy Policy and, as applicable, our separately published Consumer Health Data Privacy Policy. The Privacy Policy and Consumer Health Data Privacy Policy describe our handling of personal information. Acceptance of these Terms does not constitute consent to a particular use or disclosure of sensitive health information where applicable law requires separate affirmative consent. If you do not agree to these Terms, do not use the Platform.

BY REGISTERING FOR, DOWNLOADING, ACCESSING, OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS.

2. Eligibility; Minors; Parental Authorization

2.1 Adult Users. Individuals who are at least eighteen (18) years old and legally capable of entering into a binding agreement may register for and use the Platform.

2.2 Teen Users. Individuals between thirteen (13) and seventeen (17) years old (“Teen Users”) may register for and use the Platform only through the Company's age-appropriate registration process and with the authorization of a parent or legal guardian, together with any additional permissions or consent required by applicable law. A parent or legal guardian authorizing a Teen User's participation represents that the parent or guardian has the legal authority to provide such authorization, has reviewed these Terms and applicable privacy notices, and agrees to the obligations expressly applicable to the parent or guardian. Teen Users must also affirmatively acknowledge the applicable Terms and privacy notices in an age-appropriate manner. The Company may implement additional safeguards, restrict particular features, or require additional authorization based on the user's age and applicable law.

2.3 Children Under 13. Children younger than thirteen (13) may not independently register for or use the Platform. The Company anticipates that a parent-controlled dependent-profile feature may be introduced in the future. Any such functionality for children under thirteen will be separately enabled only after applicable parental notice, verifiable parental consent, privacy, and security requirements have been implemented. Until that feature is available, a parent or guardian may not create an unauthorized account for a child under thirteen or enter the child's personal information through another user's account in a manner not expressly permitted by the Platform.

2.4 Parental Responsibilities and Privacy. Parents and guardians are responsible for reviewing the appropriateness of the Platform for the Teen Users they authorize, discussing appropriate use, and complying with applicable parental-consent requirements. However, authorization of a Teen User's account does not automatically entitle a parent or guardian to unrestricted access to that user's sensitive reproductive-health information or communications. Parental access and disclosure rights will be governed by applicable law and any specifically disclosed and enabled Platform controls.

2.5 Age Verification and Enforcement. The Company may request age information, parental contact details, verification of parental authority, or other information reasonably necessary to administer age restrictions and authorization requirements. We may restrict or suspend accounts where these requirements are not met.

3. Accounts and Security

You agree to provide accurate, current, and complete account information and to maintain the security of your login credentials. Except where expressly permitted through an authorized dependent-profile feature, accounts are personal and must not be shared or transferred. You must notify the Company promptly of suspected unauthorized access or misuse of your account. The Company may take reasonable steps to verify account ownership and maintain account security.

4. Nature of the Platform

ana kate is an educational, reproductive-health tracking, personal wellness, and faith-based technology platform designed primarily for women. Features may include:

(a) menstrual-cycle and symptom tracking;

(b) fertility and ovulation estimates;

(c) pregnancy and postpartum tracking;

(d) personalized calculations, analytics, and educational resources;

(e) reminders and notifications;

(f) faith-based educational and spiritual resources;

(g) a moderated prayer board and other limited community features; and

(h) a directory of independent healthcare and wellness practitioners.

The Company may modify, discontinue, or introduce features from time to time, subject to applicable law and existing paid-service commitments. References to a particular feature do not guarantee that it is available at all times or included in every subscription.

5. No Medical Services; No Medical Advice

THE PLATFORM IS INTENDED TO PROVIDE GENERAL WELLNESS, EDUCATIONAL, AND INFORMATIONAL SERVICES. IT IS NOT INTENDED TO DIAGNOSE, TREAT, CURE, OR PREVENT ANY MEDICAL CONDITION, TO SERVE AS A METHOD OF CONTRACEPTION, OR TO SUBSTITUTE FOR PROFESSIONAL MEDICAL CARE. THE COMPANY DOES NOT PROVIDE MEDICAL DIAGNOSIS, TREATMENT, PRESCRIPTIONS, OR INDIVIDUALIZED CLINICAL CARE THROUGH THE PLATFORM. The Platform is intended for educational, informational, faith-based, and personal wellness purposes. Neither the Platform nor its algorithms, predictions, or educational materials establishes a physician-patient or other professional healthcare relationship between the Company and a user. Information provided through the Platform is not a substitute for professional medical evaluation, diagnosis, treatment, or advice. Users should consult appropriately licensed healthcare professionals regarding symptoms, fertility, pregnancy, postpartum concerns, medications, contraception, or other medical decisions.

6. Menstrual-Cycle, Ovulation, and Fertility Predictions

The Platform may generate individualized estimates concerning menstrual cycles, ovulation, fertility windows, pregnancy-related dates, and other reproductive-health events (collectively, “Analytics”). These Analytics are based on user-provided information, mathematical methods, and other available data. They are estimates and may be inaccurate, incomplete, or inappropriate for a particular user. Reproductive cycles vary significantly among individuals and may be affected by medical conditions, medications, stress, pregnancy, breastfeeding, postpartum changes, and other circumstances. THE PLATFORM SHOULD NOT BE USED AS THE SOLE BASIS FOR ATTEMPTING TO ACHIEVE OR PREVENT PREGNANCY, SELECTING OR DISCONTINUING CONTRACEPTION, DIAGNOSING MEDICAL CONDITIONS, OR MAKING TREATMENT DECISIONS. The Company does not guarantee the accuracy of ovulation estimates, fertile-window predictions, cycle forecasts, or other Analytics or any particular reproductive-health outcome. You acknowledge that medical decisions should be made with appropriate professional guidance.

7. Mental Health and Emergency Disclaimer

The Platform may include faith-based resources, prayer requests, or community interactions involving depression, anxiety, grief, infertility, pregnancy loss, emotional distress, or other personal challenges. The Company is not a mental-health treatment provider, therapist, crisis service, suicide-prevention hotline, emergency dispatcher, or public safety answering point. The Platform is not continuously monitored for emergencies, and messages, prayer requests, notifications, or other communications may not be viewed or answered promptly. Do not rely on the Platform for suicide prevention, emergency counseling, immediate crisis intervention, or urgent medical assistance. If you or another individual may be in immediate danger, experiencing suicidal thoughts requiring immediate assistance, or facing a medical or mental-health emergency, contact appropriate emergency services, including 911 where applicable, or a qualified crisis resource.

8. Algorithms and Artificial Intelligence

The Platform uses algorithms and automated processing to generate personalized Analytics. At present, health information entered by a user is used to provide or improve predictions for that user. The Company does not currently use identifiable individual health records to train a generalized predictive model for all users, and outside artificial-intelligence providers do not currently generate the Platform's reproductive-health predictions. The Company may evaluate additional AI or machine-learning functionality in the future. Any material expansion of the use of identifiable sensitive health information will be subject to applicable privacy disclosures and consent requirements. No information generated through automated processing is guaranteed to be accurate or a substitute for professional judgment. The Company retains its ownership of its software, algorithms, independently developed improvements, proprietary analytical methods, and other Company intellectual property, but does not acquire ownership of users' private health records merely through processing them.

9. User Content; Ownership and License

The Platform may allow you to enter health information, record personal observations, create notes, upload photographs, submit prayer requests, send messages, or otherwise provide information or materials (“User Content”). You retain ownership of your User Content and any intellectual-property rights you lawfully possess in it. By submitting User Content, you grant the Company a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, transmit, and use that content solely as reasonably necessary to:

(a) provide the features and services you request;

(b) generate authorized personalized Analytics;

(c) display content to the audiences you select through supported features;

(d) operate, maintain, troubleshoot, and secure the Platform;

(e) enforce these Terms and address safety or legal concerns; and

(f) comply with applicable legal obligations.

This license does not transfer ownership of User Content to the Company, authorize unrestricted commercialization of private reproductive-health information, or constitute consent to unrelated generalized AI training or advertising uses. The license is subject to applicable privacy rights, deletion obligations, and permitted legal retention. You represent that you have the rights and authorizations necessary to submit User Content and that it does not unlawfully infringe another person's rights.

10. Prayer Board and Community Features

The Platform may permit users to submit prayer requests, communicate through moderated community features, or otherwise interact with other users. Prayer-board posts are visible to other users of the Platform. They should not be treated as private communications. Users should refrain from posting private medical information, sensitive reproductive-health details, or identifying information concerning themselves or others unless they understand and accept the visibility of the posting and have any required authorization. Users may not post content that:

(a) threatens, harasses, stalks, or abuses another person;

(b) is unlawful, defamatory, exploitative, or intentionally deceptive;

(c) discloses another person's confidential or sensitive information without authorization;

(d) impersonates another person;

(e) promotes unauthorized commercial solicitations or spam; or

(f) creates a material safety or security risk.

The Company may moderate, remove, restrict, or refuse content and suspend accounts for violations of these Terms or reasonable safety concerns. The prayer board is moderated by the Company's team; however, moderation does not guarantee continuous monitoring or the immediate removal of inappropriate content. Users may report concerning content or conduct through available reporting functionality or by emailing support@anakate.com. Certain community features may be limited for minors or subject to additional controls. Teen Users should not publicly post intimate health information or information belonging to another person. The Company may implement user-blocking, reporting, and other safeguards appropriate to the features offered.

11. Privacy and Sensitive Information

Use of the Platform is subject to our Privacy Policy and Consumer Health Data Privacy Policy. Because the Platform may process reproductive-health information and other sensitive personal data, users should exercise care when choosing what information to enter or voluntarily share. The Company will process such information in accordance with applicable privacy laws and disclosed purposes. The Platform generally does not function as a HIPAA-covered healthcare service solely because it permits users to enter health information. Other legal privacy protections may nevertheless apply. The availability of a practitioner directory or community feature does not automatically create professional confidentiality obligations between the Company and a user.

12. Practitioner Directory

The Platform may include a directory of independent healthcare or wellness practitioners, including doctors, midwives, dietitians, and other professionals (the “Directory”). Certain practitioners pay fees to maintain or promote their listings. Directory participation does not create an employment, agency, partnership, joint venture, physician-patient, or other professional relationship between the Company and a practitioner or between the Company and a user. The Company does not provide or guarantee medical services offered by independent practitioners. Practitioners are responsible for their professional conduct, clinical services, licensing, insurance, patient relationships, professional advice, and compliance with applicable law. The Company may establish eligibility requirements and undertake limited administrative verification of practitioner licensing and insurance. Such measures do not constitute a guarantee of ongoing professional competence, patient outcomes, or the quality of services. Paid placement does not itself constitute medical endorsement or a recommendation that a particular practitioner is appropriate for a user's individual circumstances. Users should independently evaluate practitioners before engaging their services. Practitioners are separately subject to the Practitioner Directory Listing Terms in Part II of this document.

13. Third-Party Services and Integrations

The Platform may interact with independent application marketplaces, cloud providers, authentication services, payment processors, practitioners, and other third parties. The Company anticipates future integrations with Oura and Apple Health. Those integrations will not become active merely because they are referenced in these Terms. Their use will depend on availability, the user's applicable permissions, and the terms and privacy practices governing those services. The Company does not control independent third-party websites or professional services and is not responsible for their separate acts, omissions, availability, or data practices, except to the extent liability cannot lawfully be excluded. Where third parties act as service providers on behalf of the Company, their processing of personal information remains subject to the applicable privacy obligations and contractual restrictions.

14. Fees, Subscriptions, and Billing

Certain Platform features may require payment of subscription or other fees. Applicable prices, billing periods, introductory terms, and other material purchase conditions will be disclosed before purchase. Unless otherwise disclosed at purchase, recurring subscriptions renew automatically for successive periods until canceled. You authorize the Company or the applicable third-party payment processor to charge the authorized payment method in accordance with the subscription terms accepted at enrollment. For subscriptions billed directly by the Company, we will provide at least thirty (30) days' advance notice of material price increases applicable to subsequent billing periods, unless a different notice period is required by law. Users may cancel recurring subscriptions through the applicable account-management method or the app store through which the subscription was purchased. Cancellation ordinarily becomes effective at the end of the current billing period, subject to applicable law and disclosed purchase terms. Deleting the application does not, by itself, cancel an active subscription. Refunds will be governed by applicable law, the disclosed purchase terms, and the applicable payment provider's requirements.

15. Account Suspension and Termination

The Company may suspend, restrict, or terminate access to the Platform when it reasonably determines that:

(a) these Terms have been violated;

(b) an account presents a material security, privacy, or safety risk;

(c) eligibility or required parental authorization has not been established;

(d) continued operation is prohibited by law; or

(e) other circumstances reasonably justify protective action.

The Company may discontinue or modify features, subject to applicable law and existing paid-service obligations. Users may discontinue use and request deletion of their accounts as described in the Privacy Policy. Termination does not eliminate accrued obligations or provisions that by their nature should survive, including intellectual-property protections, lawful limitations of liability, indemnification, and dispute-resolution provisions.

16. Account Deletion

Users may initiate account deletion through the Delete Account feature in the application's Settings menu or contact support@anakate.com for assistance. Account deletion is subject to the Privacy Policy and applicable law. Valid deletion requests will be handled in accordance with applicable requirements governing associated personal information, reproductive-health records, permitted retention exceptions, service-provider records, and archived information. For accounts associated with minors, the Company may take reasonable steps to verify the identity and legal authority of a person submitting a deletion request on the minor's behalf.

17. Intellectual Property

Except for User Content and third-party materials, the Platform and its software, algorithms, technology, source code, databases, designs, text, graphics, logos, trademarks, analytical methods, compilations, and other proprietary materials are owned by or licensed to the Company and protected under applicable law. Subject to these Terms, the Company grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for its intended personal, non-commercial purposes. You may not copy, reproduce, modify, distribute, sublicense, sell, commercially exploit, reverse engineer, or otherwise misuse the Platform or its protected materials except as expressly authorized or permitted by applicable law. If you provide suggestions or ideas specifically concerning improvement of the Platform (“Feedback”), the Company may use such Feedback without compensation. Feedback does not include private health information, prayer requests, or other User Content merely because such information is submitted through the Platform.

18. Copyright Infringement; DMCA Notices

The Company respects intellectual-property rights and will respond to legally sufficient notices of alleged infringement under the Digital Millennium Copyright Act (“DMCA”) and other applicable law. A copyright owner or authorized representative may submit a written notice identifying:

(a) the copyrighted work alleged to have been infringed;

(b) the material alleged to be infringing and information sufficient to locate it;

(c) the complaining party's name and contact information;

(d) a physical or electronic signature of the copyright owner or authorized representative;

(e) a statement that the complaining party has a good-faith belief that the use is not authorized by the copyright owner, its agent, or applicable law; and

(f) a statement, under penalty of perjury, that the information supplied is accurate and the complaining party is authorized to act on behalf of the relevant rights holder.

Notices may be submitted to support@anakate.com, with the subject line “Copyright Infringement Notice,” or to any separately identified registered DMCA agent of the Company. The Company may remove or disable access to challenged material and may notify the submitting user. Where applicable, a user whose content has been removed may submit a counter-notification containing the information required by the DMCA, including identification of the removed material, the user's contact information, the legally required statements, and consent to the jurisdiction required by the statute. The Company may restore material following a valid counter-notification where authorized under the DMCA. The Company reserves the right to terminate accounts of repeat infringers in appropriate circumstances.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL CONTENT, ANALYTICS, PREDICTIONS, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED AVAILABILITY, EXCEPT WHERE SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED. WITHOUT LIMITING THE FOREGOING, THE COMPANY DOES NOT WARRANT THAT:

(a) MENSTRUAL-CYCLE, FERTILITY, OR OVULATION PREDICTIONS WILL BE ACCURATE;

(b) USE OF THE PLATFORM WILL PRODUCE ANY PARTICULAR HEALTH, FERTILITY, PREGNANCY, OR WELLNESS OUTCOME;

(c) THE PLATFORM WILL BE FREE FROM ERRORS, INTERRUPTIONS, OR TECHNICAL FAILURES;

(d) NOTIFICATIONS, PRAYER REQUESTS, MESSAGES, OR OTHER COMMUNICATIONS WILL BE VIEWED OR RESPONDED TO; OR

(e) INDEPENDENT PRACTITIONERS WILL PROVIDE ANY PARTICULAR STANDARD OF SERVICE OR RESULT.

NOTHING IN THESE TERMS DISCLAIMS ANY LEGAL RESPONSIBILITY THAT CANNOT BE LAWFULLY EXCLUDED.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00), OR (B) THE AMOUNT PAID BY THE CLAIMANT TO THE COMPANY FOR USE OF THE PLATFORM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE FOREGOING LIMITATIONS SHALL NOT APPLY TO THE EXTENT PROHIBITED BY LAW, INCLUDING LIABILITIES OR STATUTORY REMEDIES THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

21. Indemnification

TO THE EXTENT PERMITTED BY LAW, YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS THE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS FROM THIRD-PARTY CLAIMS, DAMAGES, LIABILITIES, AND REASONABLE EXPENSES, INCLUDING REASONABLE ATTORNEYS' FEES, ARISING DIRECTLY FROM:

(A) YOUR MATERIAL BREACH OF THESE TERMS;

(B) YOUR UNLAWFUL OR INTENTIONALLY WRONGFUL USE OF THE PLATFORM;

(C) YOUR INFRINGEMENT OF ANOTHER PERSON'S INTELLECTUAL-PROPERTY, CONFIDENTIALITY, OR PRIVACY RIGHTS; OR

(D) USER CONTENT SUBMITTED WITHOUT APPROPRIATE AUTHORITY.

THIS OBLIGATION DOES NOT REQUIRE YOU TO INDEMNIFY THE COMPANY FOR ITS INDEPENDENT NEGLIGENCE, WRONGFUL CONDUCT, VIOLATIONS OF LAW, OR RESPONSIBILITIES THAT CANNOT LAWFULLY BE TRANSFERRED.

22. Governing Law; Disputes; Venue

THESE TERMS SHALL BE GOVERNED BY THE LAWS OF THE STATE OF TEXAS, WITHOUT REGARD TO CONFLICTS-OF-LAW PRINCIPLES. SUBJECT TO APPLICABLE LAW, ANY ACTION ARISING FROM OR RELATING TO THESE TERMS SHALL BE BROUGHT EXCLUSIVELY IN THE STATE COURTS OF COMPETENT JURISDICTION LOCATED IN DENTON COUNTY, TEXAS, OR, WHERE FEDERAL JURISDICTION EXISTS, THE UNITED STATES DISTRICT COURT FOR THE EASTERN DISTRICT OF TEXAS, SHERMAN DIVISION. EACH PARTY CONSENTS TO THE PERSONAL JURISDICTION OF SUCH COURTS TO THE EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS ELIMINATES ANY MANDATORY STATUTORY VENUE, JURISDICTIONAL PROTECTION, OR NONWAIVABLE CONSUMER RIGHT.

23. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY AGREES THAT CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL BE ASSERTED IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. This waiver does not apply to the extent prohibited by applicable law.

24. Changes to Terms

The Company may update these Terms from time to time. Updated Terms will be made available through the Platform or website, with additional notice or affirmative acceptance where required by law. Material changes will generally operate prospectively. No amendment will retroactively eliminate accrued legal rights or constitute consent to new sensitive-health-data processing where separate authorization is legally required.

25. Mobile Application Marketplace Terms

These Terms are entered into between you and the Company and not with Apple, Google, or another app marketplace. The Company, rather than the marketplace, is responsible for the Platform to the extent required under applicable law and marketplace rules. Use of the Platform is also subject to applicable marketplace terms and device requirements. To the extent required by applicable Apple application-distribution terms, Apple and its subsidiaries are third-party beneficiaries of relevant provisions of these Terms and may enforce those provisions against users.

26. Miscellaneous

These Terms and the applicable privacy policies constitute the agreement governing your use of the Platform, subject to supplemental terms expressly applicable to particular features or services. If a provision is held invalid or unenforceable, the remaining provisions remain effective to the maximum extent permitted by law. Failure to enforce a provision does not constitute a waiver. You may not assign these Terms without the Company's prior written consent. The Company may assign these Terms in connection with a merger, reorganization, sale of substantially all assets, or similar transaction, subject to applicable law and privacy obligations.

PART II — PRACTITIONER DIRECTORY LISTING TERMS

These Practitioner Directory Listing Terms (“Directory Terms”) govern the submission, purchase, maintenance, and use of professional listings in the ana kate Practitioner Directory. By applying for, paying for, or maintaining a Directory listing, the participating individual or business (“Practitioner”) agrees to these Directory Terms. In the event of a conflict concerning participation in the Directory, these Directory Terms control over the general consumer provisions above.

1. Core Principles and Affirmations

By participating in the Directory, Practitioner acknowledges and agrees to uphold the following Core Principles:

(a) Sanctity of Life. Practitioner affirms that human life begins at conception, that it is always wrong to take innocent human life, and that abortion is evil.

(b) Immutability of Sex. Practitioner affirms that sex is determined at the moment of conception and is immutable.

(c) Biological Reality of Pregnancy. Practitioner affirms that only women can become pregnant and have a period.

Directory participation remains conditioned upon continued adherence to these Core Principles, subject to applicable law.

2. Nature of the Directory

The Directory is an informational and promotional service through which independent practitioners may make their professional services known to prospective clients. The Company does not guarantee the generation of patients, clients, revenue, or any particular commercial outcome. Practitioner remains solely responsible for professional services, treatment, advice, professional relationships, informed consent, and compliance with applicable law. Directory listing fees are intended as fixed advertising or subscription charges rather than compensation for individual patient referrals or fees generated from professional services. No employment, partnership, joint venture, agency, or professional practice relationship is created between the Company and Practitioner solely through Directory participation.

3. Licensure; Insurance; Eligibility

As a condition of participation, Practitioner represents, warrants, and agrees that:

(a) Practitioner maintains all professional licenses, registrations, certifications, and authorizations required for the services advertised;

(b) Practitioner maintains professional liability or medical-malpractice insurance appropriate to the services provided, with limits of not less than $1,000,000, unless an alternative is expressly approved in writing by the Company following confirmation of applicable insurance requirements;

(c) all professional, licensing, insurance, and practice information furnished to the Company is accurate and complete in all material respects;

(d) Practitioner will promptly report material changes, restrictions, disciplinary actions, license suspensions, or lapses in required insurance; and

(e) Practitioner will comply with applicable professional, advertising, healthcare, privacy, and consumer-protection laws.

Practitioner shall provide reasonable evidence of licensure and insurance upon request, including before initial listing or renewal where required by the Company's eligibility procedures. The Company may perform limited administrative reviews of information furnished by Practitioners, including verification of licensing status and insurance documentation. Such reviews do not constitute clinical supervision, a guarantee of professional competence, or an endorsement of any particular treatment or professional outcome. The Company may reject, suspend, or remove a listing where eligibility or documentation requirements are not met.

4. Membership Categories and Pricing

A. Founding Member Tier. Reserved for the first one hundred (100) qualified practitioners enrolled during the initial registration period. Founding Members are entitled to the benefits described in their enrollment materials in exchange for the stated one-time membership fee. The lifetime membership benefit does not require recurring Directory subscription payments while the Directory remains operational and Practitioner remains in good standing. Such membership does not guarantee perpetual operation of the Directory or prevent termination pursuant to these Directory Terms.

B. Early Adopter Select and Early Adopter Premium Tiers. These tiers are available under the monthly or annual subscription options offered during the introductory enrollment period. Unless otherwise stated in the applicable offer, these tiers include the first three (3) months without subscription charges, followed by recurring monthly or annual billing unless canceled before renewal.

C. Select and Premium Tiers. Following the launch period, these tiers may be offered on monthly or annual subscription arrangements at the prices and with the benefits disclosed at enrollment.

D. Billing and Cancellation. Practitioner authorizes applicable subscription charges and renewal payments under the terms accepted at purchase.

Practitioner may cancel future renewals through available account settings or by sending written notice to support@anakate.com before the next renewal date. Unless otherwise required by law or expressly stated in the applicable offer, cancellation takes effect at the end of the current subscription period. Refunds are subject to applicable law and the disclosed terms of the applicable membership program.

5. Practitioner Listing Content

Practitioner is responsible for the accuracy and lawfulness of the information and materials submitted for a Directory listing. Practitioner may not misrepresent credentials, professional experience, licensure, insurance, services, qualifications, or practice limitations. Practitioner grants the Company a non-exclusive, royalty-free license to use, reproduce, display, and distribute approved names, logos, photographs, descriptions, and related materials for the purpose of maintaining and promoting the Directory. Practitioner retains ownership of independently owned intellectual property. Practitioner may not imply that the Company provides clinical supervision, guarantees professional results, or endorses specific medical advice.

6. Independent Services and Patient Information

Any medical, clinical, diagnostic, therapeutic, or other professional services are provided solely by Practitioner or Practitioner's independent professional practice. Practitioner is solely responsible for:

(a) determining whether to establish a professional relationship;

(b) making appropriate clinical assessments and treatment decisions;

(c) providing required professional agreements, notices, and informed-consent documentation;

(d) maintaining professional records and required confidentiality;

(e) maintaining professional licensing and insurance; and

(f) satisfying applicable professional and legal duties.

Practitioner shall not request, collect, transmit, or disclose protected or sensitive patient information through the Platform except through functionality expressly authorized by the Company and in compliance with applicable law and privacy requirements. A Directory listing does not constitute employment, supervision, or certification by the Company.

7. Termination and Revocation

The Company may suspend, remove, or terminate Directory participation upon reasonably determining that Practitioner:

(a) no longer satisfies applicable Core Principles or eligibility requirements;

(b) fails to maintain required licensing or insurance;

(c) provides materially inaccurate or misleading information;

(d) engages in conduct that presents a material risk to users or the Company's mission or reputation;

(e) materially breaches these Directory Terms; or

(f) violates applicable law or professional standards.

Immediate protective action may be taken where reasonably necessary to address user safety, professional eligibility, legal compliance, or material reputational risks. Any refund obligations will be determined under applicable law and the terms disclosed at purchase.

8. Practitioner Indemnification

To the extent permitted by law, Practitioner agrees to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from third-party claims, liabilities, damages, and reasonable expenses, including reasonable attorneys' fees, arising out of:

(a) Practitioner's professional services, negligence, malpractice, or misconduct;

(b) Practitioner's breach of these Directory Terms;

(c) misrepresentations concerning licensure, insurance, credentials, or services;

(d) violations of applicable professional or healthcare laws; or

(e) unauthorized collection, disclosure, or misuse of patient information.

This obligation does not extend to liabilities resulting from the Company's independent wrongful conduct to the extent they cannot lawfully be shifted.

9. General Provisions

These Directory Terms are governed by Texas law and subject to the dispute-resolution and other generally applicable provisions of Part I. The Company may amend Directory Terms prospectively upon legally sufficient notice. Participation following an effective amendment constitutes acceptance to the extent permitted by law. If a provision is unenforceable, the remaining provisions remain effective.
